Terms and Conditions of Sale
1. Purpose
These general terms and conditions govern sales contracts and service agreements between AMP IT SA, a Swiss corporation based at rue de Sablières 1, 1242 Satigny, and any individual or legal entity (the "Client").
AMP IT develops, distributes and installs charging solutions for electric vehicles and provides consulting services for electric mobility.
2. Acceptance of Terms
Placing an order implies full and unreserved acceptance of these terms and conditions by the Client.
AMP IT reserves the right to modify its terms and conditions at any time. The applicable conditions will be those in force at the date of the Client's order.
3. Orders
Orders may be placed in writing, by phone, fax, email or via the AMP IT website.
An order only becomes final after written confirmation from AMP IT.
AMP IT reserves the right to cancel or refuse any order from a Client with whom a payment dispute exists.
4. Prices
Prices are quoted in Swiss francs (CHF), excluding taxes (VAT). They are ex-warehouse AMP IT, packaging included.
Prices are firm and non-revisable during the validity period indicated by AMP IT. If no validity period is indicated, the offer is valid for 30 days.
AMP IT reserves the right to modify its prices in the event of changes in raw material costs, exchange rates or applicable taxes.
5. Payment Terms
Invoices are payable within 30 days net upon receipt, unless otherwise agreed in writing.
In case of late payment, interest at the rate of 5% per annum may be charged without prior notice.
In case of non-payment, AMP IT reserves the right to suspend all deliveries in progress.
6. Deliveries
Delivery times are indicative and not guaranteed.
AMP IT cannot be held responsible for the consequences of a delivery delay.
Risks are transferred to the Client upon delivery of the products.
7. Installation and Commissioning
When installation is included, it will be carried out according to industry standards and regulations.
The Client undertakes to provide all necessary information for proper execution of the work.
Commissioning can only take place after full payment of the invoice.
8. Warranties
AMP IT guarantees its products against manufacturing defects for a period of 2 years from delivery.
This warranty covers free replacement or repair of parts recognized as defective.
The warranty does not apply in case of misuse, negligence or normal wear.
9. Liability
AMP IT's liability is limited to the amount of the invoice corresponding to the products that caused the damage.
AMP IT cannot be held liable for indirect damages.
The Client undertakes to subscribe to necessary insurance.
10. Force Majeure
AMP IT cannot be held responsible for any delay or non-performance resulting from force majeure.
11. Personal Data
Personal data provided by the Client is necessary for order management and commercial relationship.
The Client has the right to access, rectify and delete their personal data.
12. Applicable Law and Jurisdiction
These terms and conditions are governed by Swiss law.
In case of dispute, the courts of Geneva have exclusive jurisdiction.
